Converting one video stream to another with ffserver or ...

How would i be going about to acheve this?
The stream i want to convert is a dvb stream that is streamed from my settop box in my livingroom to a 3gpp compatible stream using my gentoo computer to convert it...

when i watch the stream with vlc i connect using a m3u file that contains:

http://192.168.3.24:31339/0,13ba,13bb,13bc,13bd,13be,13bf

So basicly im trying to do:
capture stream from 192.168.3.24, convert and resize with ffserver and stream so i can watch it on my 3g phone.
I think this is a fairly simple thing to achive (if one only knows how;)

Ideas, pointers and howtos much appriciated
