fresh gentoo install and eth0 still wont boot!

Ive posted before about my network just not starting up at boot. I get the same netmount errors. I had completed a stage1 install last week and compiled the 3c59x driver as a module in the kernel but it didnt work. I tried everything (almost) and no luck so i decided to do a stage3 install (my first gentoo install was a stage3 off a 2004.1 cd so i figured it worked the first time, why not now!).
Just rebooted and i get the same netmount thing error.... :(

lsmod gives me :

3c59x
dmesg gives me :

*** EEPROM MAC address is invalid.
3c59x: vortex_probe1 fails. Returns -22
3c59x: probe of 0000:00:03.0 failed with error -22
lspci gives :

0000:00:03.0 Ethernet controller : 3Com Corporation 3c556B Cardbus [Tornado] (rev 20)
Im missing something in the kernel....i know it! it worked fine before on my last install (kernel 2.6.4 i think) but now it doesnt! Using the same driver...35c9x.

ok...just read that post. where exactly to i add the "noapic apci=off" parameters? i added it to my grub.conf file, in the kernel line (2.6.9-r4 kernel). but still no luck

ive looked around and noticed atleast 2 threads everyday pertaining to the very same problem i have and the solution to most of them have always been selecting the right driver. im sure ive done that...but it still just wont start up. Is there anything i should add or remove from the kernel in the network section?

ok...ive read one of NeddySeagoon's reply to a similar problem. he said to boot from the live cd and use lsmod to find all loaded modules and then boot from the laptop and lsmod there. compare the modules and then modprobe ones which are not loaded on the gentoo install...this is what lsmod on the live cd gives me :

now i know that 3c59x is my ethernet driver...but is there anything else i should be seeing in lsmod for it to work??

I used to run on Linux 2.6.7 and the ethernet card was fine.
As soon as I try upgrading my kernel, (recopying the exact same .config), doing mrproper, everything.
It keeps failing.
I thought I could wait for new and less buggy kernel release.
But I never succeed though (last kernel attempt 2.6.11)

For more information, my machine specs are :
IBM laptop A20p with the default embedded network card '3com 3c556B [Tornado]'
