after upgrading to 2.6.4 with udev i am receiving the following message in my logs:

/dev/ttyS0: cannot open as standard input: No such device

i know this is related to the SERIAL CONSOLE line in /etc/inittab.

what is this needed for? if nothing important i can just remark the line out and error messages stop.

/dev/ttyS0 is a serial device, for a serial port.

How did you set up udev? If devfs wasn't on your system before you switched, you might need to create /dev/ttyS0 manually. Check to see if it actually exists. If it doesn't you can create a special node to replace it. You can find other threads in the forums that talk about creating new device nodes to work with udev. Hope this helps.
