I'm looking into installing Gentoo for a server, but I only have the 1.1a bootable CDROM. (don't currently have a burner, don't ask  )

Will this be a problem, given the 1.2 release? I know I can upgrade from previously installed Gentoo installations via portage, and I'm assuming a stage 1 install, which is the only way to install:) will work, just the same no matter the version number.

Yes this normally works, remember you're using emerge rsync, so all packages are up to date. btw. you can also download the stage 1 1.2 tbz2 file and unpack this instead of the one on the cd, just use wget http:// well you have to check the url yourself.
